These terms and conditions (“Terms of Service”) set forth the terms and conditions for the use of teriyaki.ai (the “Site”) and any functionality, subdomain, content (except as specified below), features, products, services (including the Services), media, applications, or solutions offered on or through the Site and/or through any mode, medium, platform, or format (hereinafter collectively referred to as the “Platform” / “teriyaki.ai Platform”).

These Terms of Service apply to all users of the Platform, including without limitation, all users who visit the Platform and any user who accesses the Platform and creates an account on the Platform to use the Services collectively referred to as “you,” “your,” or “User(s).” These Terms of Service together with the Privacy Policy, and any other terms and conditions, rules, policies, or guidelines included in these Terms of Service or Privacy Policy by reference and/or as updated on the Platform or otherwise communicated to you from time to time (including the terms and conditions of other third party platforms that may be used or accessed to obtain access to the Platform or use the Services on the Platform (collectively referred to as the “Platform Terms”)) define the relationship between you and teriyaki.ai, and will govern your use of the Platform and the Services (defined below) offered therein. Your access to the Platform and use of the Services is subject to your acceptance of the Platform Terms, and such acceptance of the Platform Terms constitutes a legally binding agreement between you and teriyaki.ai (“Agreement”). Therefore, please take the time to read the Platform Terms in their entirety.

From time to time, updated versions of the Platform Terms may be made available as set forth above for your reference. By visiting and accessing the Platform, providing your Personal Information (as defined in the Privacy Policy), using the Services offered or otherwise signing your agreement when the option is presented to you, you expressly accept and agree to the Platform Terms. If you do not agree with any of the Terms or do not wish to be bound by them, then please do not use the Platform in any way.

When we refer to ‘teriyaki.ai’, ‘we’, ‘us’, and ‘our’, we collectively mean Hoplo S.r.l., a company based in Italy, and all of its affiliates that are licensed to host the Platform and offer Services. Please refer to the ‘About teriyaki.ai’ section of these Terms of Service to learn more about teriyaki.ai.

All capitalized terms are defined/have the meaning assigned to it under these Terms of Service. In other words, if you find a word here that has its first letter capitalized, then it means that we have explained the meaning that word has in the context of these Terms of Service and/or the Platform Terms; if not here, then it will be provided in the relevant Platform Terms – when we refer to such a term in these Terms of Service, we will try to specify where in the Platform Terms you can find the meaning/definition.

About teriyaki.ai: The teriyaki.ai Platform is owned, managed, operated and offered by Hoplo S.r.l., a company based in Italy, with registered office at 10 Via Vittor Pisani – Milan, Italy.

Platform Services: teriyaki.ai is a Platform that offers Services that use AI to assist Users in generating content for specific purposes (“Generated Content”) in response to content entered by the User (“User Content Input”).

For the purpose of the Platform Terms, use of the terms “Platform Services” / “Services” will include all services referred to in this section and such other products or services that may be offered by teriyaki.ai through and/or in association with the Platform.

Eligibility and Access to the Platform: The Platform is intended for access and use by Users 18 years of age or older. If you are not at least 18 years old, you are prohibited from accessing or using the Platform. Users may include both individuals and legal entities. By accessing or using the Platform, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to accept these Platform Terms and abide by them.

Your Accounts: To use certain Services, you may need to create an account on the Platform. You are responsible for maintaining the confidentiality of your login credentials, and you are fully responsible for all activities that occur under your account. You agree to notify teriyaki.ai immediately of any unauthorized use of your account or any other breach of security.

Use of the Platform: Use of the Platform is subject to all applicable laws and regulations. You may not: (a) transmit software or data that contains viruses, worms, or other harmful components; (b) manipulate prices or interfere with other users’ listings; (c) post content or items in inappropriate categories or areas on the Platform; (d) violate the rights of third parties.

Account Termination: teriyaki.ai reserves the right to terminate your account and access to the Services for any reason, including, but not limited to, violation of these Platform Terms.

Intellectual Property and License: All intellectual property rights relating to the Platform and Services belong to teriyaki.ai or its licensors. You are granted a limited, non-exclusive, revocable and non-transferable right to use the Platform and Services for personal, non-commercial purposes, subject to the Platform Terms.

Complaints regarding use of Third Party Intellectual Property: If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have otherwise been violated, please contact us immediately.

Ownership of teriyaki.ai’s Intellectual Property: All right, title and interest in and to the Platform and Services, including, but not limited to, all modifications, updates, upgrades, enhancements, new releases and new versions of the Platform and Services, and all inherent intellectual property rights, are owned by teriyaki.ai.

Rights of teriyaki.ai: teriyaki.ai reserves the right to modify or discontinue, temporarily or permanently, the Platform or Services (or any part thereof) with or without notice at any time. teriyaki.ai shall not be liable to you or any third party for any modification, suspension or discontinuance of the Platform or Services.

Platform Availability: We do not guarantee that the Platform or Services will be available uninterrupted or that they will be error-free, and we assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft or destruction or unauthorized access to or alteration of any User Content.

Prices, Payments and Refunds: Some of the Services may be subject to a fee. All prices are in Euros and include VAT, if applicable. Payments may be made through the payment methods accepted by the Platform. We do not provide refunds for purchased Services unless otherwise specified in the Platform Terms.

Communications: You agree to receive electronic communications from teriyaki.ai. These communications will include notifications about new features, changes to the Platform Terms, and other information about the Services. If you do not wish to receive these communications, you may opt out by following the instructions provided in the communications.

Privacy Policy: Our Privacy Policy, which is incorporated into these Terms of Service by reference, describes how we collect, use, disclose, manage, and store your personal information.

Feedback: If you provide us with feedback, ideas or suggestions in connection with the Platform or Services (“Feedback”), you agree that we are free to use any Feedback in any way we see fit.

Prohibited Use: You may not use the Platform or Services for any purpose that is illegal or prohibited by these Platform Terms. You may not use the Platform or the Services in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use and enjoyment of the Platform.

Linked Websites: The Platform may contain links to third-party websites. These links are provided for your convenience only. We have no control over these websites and are not responsible for the content of such websites. Our inclusion of links to such websites does not imply any endorsement, affiliation, sponsorship, approval, or adoption by us of such websites or the information contained therein.

Disclaimer: THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TERIYAKI.AI DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM OR SERVICES WILL MEET YOUR NEEDS OR THAT USE OF THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Indemnity and Release: You agree to indemnify and hold harmless teriyaki.ai, its affiliates, officers, directors, employees, agents, representatives, licensors, and third-party vendors, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Platform Terms by you or any other user of your account, whether authorized or unauthorized use.

Limitation of Liability: IN NO EVENT SHALL TERIYAKI.AI OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS OR THIRD PARTY SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN ACTION OF CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES.

Applicable Laws and Jurisdiction: These Platform Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual claims or disputes) shall be governed by and construed in accordance with the laws of Italy. The parties irrevocably consent to the exclusive jurisdiction of the courts located in Milan, Italy to resolve any dispute or claim arising out of or in connection with these Platform Terms or their subject matter or formation.

General Provisions: If any provision of these Platform Terms is deemed invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Platform Terms will remain in effect. These Platform Terms constitute the entire agreement between you and teriyaki.ai and govern your use of the Platform and Services, superseding any prior agreements between you and teriyaki.ai with respect to the Platform and Services.
